Terms of Service

Welcome to Founders Dinners, operated by Abound Corporation ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Founders Dinners platform at www.foundersdinners.com, including our website, mobile experience, APIs, and related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Agreement to Terms

By creating an account or using the Platform, you confirm that you are at least 18 years old and legally capable of entering into a binding agreement. If you are using the Platform on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Your Account

  • Accurate Information: You agree to provide accurate, current, and complete information when creating your account and to keep it updated.
  • Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.
  • One Account Per Person: Each individual may maintain only one account. Duplicate accounts may be suspended or removed.
  • Suspension and Termination: We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct that harms other members or the community.

3. Membership and Payments

  • Free Founding Membership: Basic community access, including the member directory, community chat, and waitlist features, is available at no charge during our founding period.
  • Paid Membership Tiers: Access to curated dinners requires a paid membership. Current tiers include Explorer ($199/year), Insider ($299/year), and Pro ($499/year). Benefits vary by tier and are described on our pricing page.
  • Billing: Memberships are billed annually and auto-renew unless cancelled. You authorize us to charge your payment method on file for recurring fees.
  • Promotional Codes: We may offer promotional pricing or discount codes at our discretion. These are subject to their own terms and expiration dates.
  • Refunds: If you cancel your membership, you may request a pro-rated refund for the unused portion of your billing period. Refund requests must be made within 30 days of cancellation by contacting legal@foundersdinners.com.
  • Payment Processing: All payments are processed securely by Stripe. We do not store your full payment card details.

4. Dinner Events

  • RSVP Commitments: When you RSVP to a dinner, you are expected to attend. Honoring your commitments is essential to our community.
  • No-Show Policy: Repeated no-shows without notice will negatively impact your reliability score and may result in reduced access to future dinners or account suspension.
  • Attendance Not Guaranteed: Dinner events are curated, and attendance is subject to availability and matching. We do not guarantee a specific number of dinners, frequency, or specific matches.
  • Assumption of Risk: You attend dinner events at your own risk. Founders Dinners facilitates introductions but is not responsible for the behavior, actions, or representations of other attendees.
  • Host Responsibilities: If you serve as a dinner host, you agree to follow our host guidelines, maintain a welcoming environment, and report any issues to our team.

5. User Content and Conduct

Your Content

You retain ownership of content you post on the Platform (profile information, chat messages, feedback, etc.). By posting content, you grant Abound Corporation a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content for the purpose of operating and promoting the Platform.

Prohibited Conduct

You agree not to:

  • Harass, threaten, intimidate, or discriminate against other members.
  • Send spam, solicitations, or unwanted commercial messages through the Platform.
  • Misrepresent your identity, company, or credentials.
  • Use the Platform for any illegal purpose or in violation of applicable laws.
  • Attempt to gain unauthorized access to other accounts, systems, or data.
  • Scrape, crawl, or use automated tools to extract data from the Platform.
  • Post content that is defamatory, obscene, or infringes on the rights of others.

Enforcement

We may remove content, restrict access, or terminate accounts at our discretion for violations of these Terms or community guidelines. We are not obligated to monitor all content but reserve the right to do so.

6. Intellectual Property

The Platform, including its design, branding, logos, software, text, and graphics, is owned by Abound Corporation and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or reverse engineer any part of the Platform without our prior written consent.

"Founders Dinners" and the Founders Dinners logo are trademarks of Abound Corporation. You may not use our trademarks without prior written permission.

7. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and share your information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee:

  • A specific number of dinner events or frequency of matches.
  • The quality, suitability, or behavior of other members.
  • That the Platform will be uninterrupted, error-free, or secure at all times.
  • That AI matching will produce optimal or satisfactory results for every user.

Abound Corporation is not responsible for any interactions, agreements, or disputes between members that occur on or off the Platform.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABOUND CORPORATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

10. Dispute Resolution

  • Informal Resolution: Before filing any formal claim, you agree to first contact us at legal@foundersdinners.com and attempt to resolve the dispute informally for at least 30 days.
  • Governing Law: These Terms are governed by and construed in accordance with the laws of the United States and the State of Minnesota, without regard to conflict of law principles.
  • Individual Claims Only: You agree that any dispute will be resolved on an individual basis. You waive the right to participate in a class action, class arbitration, or any other representative proceeding.

11. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Abound Corporation regarding your use of the Platform.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • No Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Modifications: We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on the Platform. Continued use after changes take effect constitutes acceptance.
